Keith Cyzen is Of Counsel in the firm’s General Corporate Department. Keith’s practice is principally focused on corporate structuring, contract negotiations, mergers and acquisitions, and acts as outside general counsel to several companies.
With nearly 25 years of experience, Keith has represented numerous companies including sellers, purchasers, and investors in all types of general corporate transactions. His experience covers a broad range of markets, including financial, manufacturing, inventions, distribution, technology, retail, and services industries. He has extensive experience preparing and negotiating contracts, including investment agreements, limited liability company agreements, independent contractor and consulting agreements, shareholders’ and voting agreements, employment and confidentiality agreements, licensing and distribution agreements, and financing agreements.
Keith also represents inventors with respect to their early stage start-up companies and inventions, drawing on his experience of bringing his own patented products to market. With his legal background with financial institutions, combined with his experience as an inventor, he has the ability to assist the inventor/entrepreneur with forming the best business structure for his or her purposes, defining and protecting the intellectual property, preparing documents for raising capital, providing ongoing corporate representation, and planning for a successful exit. More specifically, he is able to guide clients through patent management, engineering, sales rep relationships, licensing, packaging, manufacturing, endorsements, and funding aspects of a business. Keith has also developed a rigorous invention rating scale to better help inventors assess potential chances of success and provide a road map to boost their rating.
