Allen J. Gable (A.J.) is a partner in the Business and Corporate group at Duggan Bertsch. A.J. is involved in a broad-based corporate and transactional practice and focuses his practice in counseling clients in connection with all aspects of financings, mergers and acquisitions, taxation, asset protection, private securities offerings, and closely held business matters. A.J.’s practice includes representing closely-held businesses with business-related issues, including legal and strategic matters that arise during all phases of the business lifecycle, from startup, growth and expansion, through exit strategies, capital structure, business planning, debt financing, equity capital financings, corporate governance matters, tax planning, real estate, contract negotiations, and corporate restructuring matters. In addition, A.J.’s practice includes representing lenders and borrowers on a wide variety of commercial and real estate financial transactions, including secured and unsecured loans, asset-based loans, cash flow loans, construction loans, syndicated credit facilities, loan participations, premium financing, factoring, senior and subordinated debt issuances, equipment leasing, loan workouts, restructurings, foreclosures, and intercreditor matters. A.J. regularly advises clients on a broad range of general corporate law and business law issues, including private securities offerings, joint ventures, commercial contracts, employment agreements, shareholder agreements, buy-sell agreements, stock option plans and agreements, insurance captive arrangements, and shareholder disputes.
A.J. earned his Bachelor of Arts in History from the University of Michigan, a Juris Doctorate degree from Michigan State University College of Law (magna cum laude), and a Masters of Law (LL.M.) in Taxation Degree with a concentration in estate planning at New York University School of Law.
A.J. is a member of the American Bar Association, Illinois State Bar Association, Chicago Bar Association, and Michigan Bar Association.
